Terms of Service
1. Lifetime License Agreement
By acquiring a VEXCRM package, you are granted a non-exclusive, perpetual, royalty-free **Lifetime License** to deploy, run, and execute the CRM platform within your designated enterprise boundaries.
This license operates under the following conditions:
- One-Time Investment: No ongoing monthly service subscription fees or dynamic seat upgrade costs apply. The purchase cost guarantees lifetime core software rights.
- Unlimited Active Seats: You are authorized to onboard unlimited sales representatives, developers, operations personnel, and customer portal profiles onto your isolated instance without license scaling penalties.
- Core Platform Updates: Access to minor releases, code refinements, security patches, and database optimization revisions is provided at no additional cost.
2. Hosting & Access Segregation
VEXCRM is designed to operate on a segregated cloud architecture model. The client owns and maintains the virtual instances (e.g., Firebase app registration, custom server instances) where the codebase is initialized.
VEXCRM has zero administrative authority over your hosting servers. You are solely responsible for ensuring database storage spaces are active, database quotas are configured, and server backups are regularly executed. VEXCRM is not liable for data degradation or cloud billing overages resulting from self-hosted configurations.
3. Acceptable Use & Database Security
You agree to utilize VEXCRM strictly in accordance with local and international legal standards. You are prohibited from using the platform to collect, process, or disseminate records of an illegal, harmful, or fraudulent nature.
You must enforce secure access controls, including strong password policies for dashboard employees. Any breach of security or unauthorized employee access to database resources is your responsibility to isolate and resolve.
4. WhatsApp & API Fair Use Guidelines
VEXCRM integrates directly with third-party automated message gateways (like Meta's official WhatsApp Business Cloud API) to send real-time alerts. When leveraging these interfaces, you agree to adhere strictly to the following conditions:
Anti-Spam Regulations
You must not utilize VEXCRM automated broadcast lists to send unsolicited spam, bulk cold promotional materials, or deceptive copy that violates Meta's WhatsApp Commerce Policy or local telephone consumer protection acts (such as TCPA in the US or GDPR in Europe).
API Limits & Throttling
To ensure system stability, outbound triggers (such as massive database sync updates or broadcast campaigns) should run at a controlled rate to prevent server throttling or API gateway suspensions.
5. Proprietary Rights & Code Modification
The code architecture, visual components, module templates, and database schemas contained in VEXCRM are the proprietary intellectual property of VEXCRM and are protected by international copyright treaties.
While you are granted the right to perform minor customizations and code modifications to integrate the dashboard with your back-office systems, you are strictly prohibited from reselling, sub-licensing, redistributing, repackaging, or white-labeling the core codebase to third parties without prior written consent from VEXCRM.
6. Warranties, Liability & SLAs
VEXCRM is delivered "as is" without warranty of any kind, either expressed or implied. We do not guarantee that the software will be completely uninterrupted or free of errors, although we actively issue software updates to patch discovered bugs.
Under no circumstances shall VEXCRM, its developer network, or parent entities be liable for any direct, indirect, incidental, or consequential damages (including loss of profits, data corruption, business interruption, or server expenses) arising from the use or inability to use the CRM software.
